Paralegal - Corporate

New York, NY POSITION SUMMARY:
To assist attorneys in all corporate transactions including retrieving, reviewing and distributing of documents in all matters relating to corporate transactions, performing lien searches and assisting with closings. Maintain positive contact with clients and observe confidentiality of client matters. Keep accurate time records.
DUTIES AND RESPONSIBILITIES:
Primary
  • Follow the ethical requirements as set forth by the Rules of Professional Conduct of the State
  • Prepare correspondence and external written communication including general corporate housekeeping documents, client advisories, security documents and UCC statements
  • Communicate with clients, government agencies or officials, consultants and various other parties on a regular basis to collect and assemble information and communicate findings to attorneys
  • Proofread, redline and compare documents including but not limited to closing documents, reports and client letters
  • Conduct factual research and review including UCC searches and preparation of chart analysis
  • Prepare document indices including exhibits and schedule lists
  • Organize corporate mass deliveries and the distribution of same
  • Coordinate and organize transaction/matter files for research and closings
  • Attend and assist in corporate closings, prepare post-closing binders
  • Coordinate with state agencies to file/obtain corporate documents including charter documents, good standing certificates, qualification documents
Secondary
  • Record daily time entries in accordance with the policies and procedures of the Firm
  • Perform administrative tasks such as copying, scanning and faxing
  • Provide notary public services, if commissioned
BASIC QUALIFICATIONS:
  • Bachelor's Degree required
  • Minimum of 4 years of experience as a corporate paralegal required
COMPETENCIES:
  • Paralegal certificate preferred
  • Ability to organize, prioritize, and complete multiple tasks under time constraints
  • Ability to concentrate and pay close attention to detail when performing duties
  • Ability to proofread typed material for contextual, grammatical, typographical or spelling errors
  • Interpersonal skills necessary in order to communicate in person, by e-mail and telephone and follow the instructions effectively from a diverse group of clients, attorneys and staff and provide information with ordinary courtesy and tact
  • Work occasionally requires a high level of mental effort and strain while organizing and maintaining multiple cases
  • Ability to retrieve and distribute print volumes, push and pull packages and books weighing up to 20 pounds, and ability to retrieve and replace objects from shelves of up to 8 feet high
  • Work occasionally, and with little notice, may require more than 35 hours per week to perform the essential duties of the position; may also require irregular hours
  • Ability to operate standard office equipment such as computers and photocopiers
  • Ability to travel to private and public buildings, locally and nationwide, via private or public conveyance to assist attorney in attending to client needs on legal matters
